In my own personal experiences the way the company was to be structured, weird terms in equity payout plan, and not being seen as a true business partner.As for trust, you can tell me more about what has been the deal-breaker for you there.
Let me explain further what I mean by that last part. A couple of the times where I was the closest to joining I eventually decided not to because during contract write up/negotiation the language they started using (not just in writing) revealed to me that while they knew I was what they needed technically they did not value me as a business person or partner but an employee they just had to treat slightly as one to get their idea off the ground. I recommended them to hire talent instead of looking for a technical partner and to no surprise that’s eventually what they did.
Most of the ones that don’t get that far for me happen when I don’t know the person yet and so I try to research who is pitching and find a trail of reputation issues online.
