I've been asked to join a new start-up. They are giving me the choice between a small amount of restricted stock or small percentage of monthly sales. It's my understanding that restrictive stock has major tax implications (even though the stock may or may not be worth something some day). They intend to find a buyer/angel investor over the next two to three years - and I doubt they'll keep me on after that point. Which would you do - restricted stock or sales revenue?
