hi everyone!

There is an oppurtunity investing into a business however i am confused so seeking for help.

Its a brand that already exists and made some sales in Venezuela, they are selling vintage cool looking, quality glass frames.

Because of the economic situation, my friend, who owns the brand (2 owners btw, 50/50) moved to Spain and will start off the brand from 0. He made his business plan and will ask 75.000 euros from the bank, 50k for the stock to start with and 25k for other variable expenses like marketing, salaries, rent and so on. He and his partner are not bringing in any capital ! All will be from the bank !

He asked me if i want to go in and i like the brand, alsothe business plan he made and i said yes. I have 25k in cash ready to go in however i dont know how to go in.

I asked him to give me 33.3% (equal shares) if i bring 25k into the business (because they are asking 75k from the bank) however at the end i am thinking that something is not right. Because I bring the real cash on the table and most likely with this 25k the bank will give either 50k or 75k. The brand doesnt have nothing, no stock, no website or any sales in europe, only a registered brand that made some sales before and some online marketing on Instagram.

What should i do? They bring the idea, they will be working, they have the experience however with my cash most likely they will be getting the real capital from the bank to start of the business.

After forming the company and getting the capital from the bank, should be asking my money back? (still being in the business, only taking out the cash i put in)

really confused, never did or heard something like this before so no ideas!

thanks for the reply, i dont understand about the glass frames as well however i trust my friend that he is doing good what he does. My question is how much to ask from the business with the money bring into the business...

Well done. My gut tells me that you should stay away from this "deal"
It smells like more of an opportunity for your friend than for you. You can't value the business because there is no value. It just seems like a good way to lose 25K. If they were bringing you in to run marketing that would be a different story.

Since they only want your money, I'd wish your friend well and pass.

Yes the brand doesnt have a value right now however i believe brand will start selling after it starts off. This is why it is appealing to me. They can generate enough sales by finding distribution channels with right marketing materials. However because they dont bring in any capital, i cant calculate how to go in...

Right, you didn't ask if you should do it. You asked how to do it. I'm going to back off because, I refuse to offer advice on how to do this.
